Please read these Terms of Use (“Terms”) carefully before using integrity1franchise.com (the “Site”). The Site is owned and operated by Integrity 1st Car Pros Franchise Holdings LLC (“we,” “us,” “our”). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.
1. Informational use only
The Site is provided for general informational and franchise-recruitment purposes. The Site is not a franchise offer and does not constitute an offer to sell or a solicitation of an offer to buy a franchise. Franchise offers are made only through delivery of the current Franchise Disclosure Document and in compliance with applicable federal and state franchise laws. Specific investment figures, fees, and any financial performance information are addressed only in the Franchise Disclosure Document.
2. Eligibility
You must be at least eighteen years old to submit inquiries through the Site. By using the Site you represent that you meet this requirement and that the information you provide is accurate.
3. Acceptable use
You agree to use the Site only for lawful purposes. You will not:
- Use the Site in a way that violates any applicable law or regulation
- Submit false or misleading information, or impersonate any person
- Attempt to gain unauthorized access to any portion of the Site, or to any related accounts, systems, or networks
- Use automated means, including bots, scrapers, or crawlers, to access the Site except for legitimate search-engine indexing
- Introduce viruses, malicious code, or other harmful material to the Site
- Interfere with the Site’s operation or with other users’ use of the Site
4. Inquiries and submissions
The Site contains forms that allow you to request information about a franchise opportunity. By submitting an inquiry you authorize us to contact you by email or phone about your inquiry and the franchise opportunity. The handling of personal information you submit is described in our Privacy Policy.
Submissions are not confidential and we may use them, internally and with our advisors, to evaluate franchise candidates and improve our processes. Do not include sensitive personal information, such as government identification numbers, financial account numbers, or health information, in any submission.
5. Intellectual property
All content on the Site, including text, graphics, logos, photographs, brand marks, page layouts, and the prospectus and other downloadable materials, is owned by or licensed to us and is protected by US and international copyright, trademark, and other intellectual-property laws. “Integrity 1st Car Pros,” the I-mark logo, and related brand elements are our trademarks.
You may view, download, and print pages and materials from the Site for your personal, non-commercial use in evaluating a possible franchise relationship with us. You may not otherwise reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content from the Site without our prior written consent.
6. Third-party links
The Site may contain links to third-party websites for context, for example our parent automotive-service site at integrity1auto.com. Linked sites are not under our control and we are not responsible for their content, policies, or practices. Use of linked sites is at your own risk.
7. Disclaimer
THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF CONTENT.
We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.
Nothing on the Site constitutes financial, legal, accounting, tax, investment, or other professional advice. You should obtain your own professional advice before making any decision in connection with the franchise opportunity. Any financial performance information you encounter as part of the franchise-evaluation process will appear only in the Franchise Disclosure Document, drawn from the financial performance representation in Item 19 of that document. Results vary materially by operator, market, real estate, capitalization, and time of year. There is no assurance any candidate will achieve the results of any current or historical Integrity 1st Car Pros location.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of another.
10. Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to the jurisdiction of those courts.
Nothing in this Section limits any rights you may have under the franchise laws of your state of residence, including the right to bring an action in your state of residence to enforce those laws. Where applicable state law expressly governs a dispute, it controls.
11. Changes to these Terms
We may revise these Terms from time to time. The effective date at the top of this page will change when we do. Material changes will be highlighted on the Site or otherwise communicated. Your continued use of the Site after a change takes effect constitutes your acceptance of the revised Terms.
12. Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements.
